Basics Office Products Ltd. ("Basics") provides a web site (currently located at http://www.basics.com) (the "Site"). Basics provides the Site to you subject to your compliance with these Terms of Use. PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING THE SITE. BY USING THE SITE YOU AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS OF USE DO NOT ACCESS OR USE THE SITE.

(c) on-line shopping (for authorized customers only). To become an authorized customer, please contact your local dealer. For a list of dealers and their locations see the Dealer Location section of the Site;

(d) a bulletin board service (for dealers and their staff only).
Basics reserves the right to modify or discontinue any of these services at any time, without notice.

5. Ownership of Content

The materials used and displayed on the Site, including but not limited to text, software, photographs, graphics, illustrations, artwork and names, logos and trade-marks are the property of Basics or its licensors and are protected by copyright, trade-mark and other laws. Any such content may be displayed solely for your personal, non-commercial use and you agree not to modify, reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any such material without the prior written permission of Basics.

YOUR USE OF THE SITE IS AT YOUR OWN RISK. 9. General Provisions

These Terms of Use and the Privacy Policy (as may be amended by Basics from time to time without prior notice) including any documents referenced therein constitute the entire agreement between Basics and you pertaining to the subject matter hereof and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Basics with respect to the Site. A printed version of this Agreement and of any notice given in electronic form shall be advisable in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Basics' failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provisions or right. If any of the provisions contained in this Agreement are determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining provisions contained herein. Your use of the Site shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
